Terms of Service

These Terms of Service (“Terms”) govern your use of the Alpha mobile application, website, and related services (collectively, the “Services”) provided by Alpha Trading Laboratories (“Alpha,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using Alpha, you represent and warrant that you have the legal capacity to enter into a binding agreement and that you are not prohibited from using the Services under any applicable law. You may not access the Services if you are located in, or a citizen or resident of, any jurisdiction subject to comprehensive sanctions by the United States, United Nations, European Union, or United Kingdom.

2. Self-Custodial Nature of the Services

Alpha is a self-custodial platform. You are solely responsible for the security of your private keys, seed phrases, and wallet credentials. Alpha does not hold, control, manage, or have access to your private keys or digital assets at any time. We cannot recover lost keys, reverse transactions, or restore access to your wallet. If you lose your private keys or seed phrases, your digital assets may be permanently lost.

Alpha is not a bank, exchange, broker, dealer, financial advisor, investment advisor, custodian, or fiduciary. We do not facilitate the transfer, delivery, or holding of any digital assets on your behalf.

3. Description of Services

Alpha provides a social trading platform that allows users to:

  • Create and join trading groups with built-in chat functionality.
  • Propose trades and share investment theses with group members.
  • Create and participate in prediction markets.
  • Track portfolio performance with verified leaderboards and P&L metrics.
  • Execute trades across multiple asset classes through third-party decentralized exchanges and protocols.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

4. Account Registration

To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your account.

We may suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.

5. User Content

You retain ownership of content you create through the Services, including trade proposals, chat messages, predictions, and profile information (“User Content”). By posting User Content, you grant Alpha a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and improving the Services.

You represent and warrant that your User Content does not violate any third-party rights and complies with these Terms and all applicable laws.

6. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose, including money laundering, terrorist financing, tax evasion, or fraud.
  • Manipulate markets, engage in wash trading, or artificially inflate performance metrics.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Post false, misleading, or deceptive trade proposals or predictions.
  • Harass, abuse, threaten, or intimidate other users.
  • Attempt to gain unauthorized access to the Services, other accounts, or systems.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Use bots, scrapers, or automated tools to access the Services without our written consent.
  • Circumvent any content-filtering, rate-limiting, or security measures.
  • Use the Services from any jurisdiction where such use would be illegal or prohibited.

7. Fees & Transactions

Certain transactions executed through the Services may incur fees, including but not limited to execution spreads, network (gas) fees, and platform fees. Applicable fees will be displayed before you confirm a transaction. You are solely responsible for ensuring you have sufficient funds to cover all fees associated with a transaction.

Alpha is not responsible for failed transactions due to insufficient funds, network congestion, smart contract failures, or other factors outside our control. All blockchain transactions are final and irreversible.

8. Third-Party Services

The Services may integrate with or provide links to third-party services, including decentralized exchanges, protocols, dApps, and data providers. Alpha does not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your sole risk and subject to their respective terms and privacy policies.

9. Risks

By using the Services, you acknowledge and accept the following risks:

  • Market Risk: Digital asset markets are highly volatile. Prices can fluctuate significantly in short periods. You may lose some or all of your investment.
  • Technology Risk: Blockchain networks are under continuous development and may experience outages, bugs, forks, or security vulnerabilities.
  • Smart Contract Risk: Transactions may interact with smart contracts that contain bugs or vulnerabilities. You are solely responsible for evaluating any code you interact with.
  • Regulatory Risk: The regulatory environment for digital assets is evolving. Changes in laws or regulations may adversely affect the Services or your use of them.
  • Irreversibility: Blockchain transactions are generally irreversible. Errors in transaction details (wrong address, wrong amount) cannot be corrected by Alpha.
  • Self-Custody Risk: You bear sole responsibility for any loss of your digital assets due to failure to maintain the security of your private keys or seed phrases.

10. No Financial Advice

Alpha does not provide financial, investment, tax, or legal advice. Trade proposals, predictions, leaderboard rankings, AI-generated market summaries, and any other information provided through the Services are for informational purposes only and do not constitute a recommendation to buy, sell, or hold any asset. You should consult a qualified professional before making any financial decisions. Past performance displayed on the platform does not guarantee future results.

11. Intellectual Property

The Services, including all software, designs, text, graphics, logos, icons, and other content (excluding User Content), are the property of Alpha Trading Laboratories and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Services without our prior written consent.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ALPHA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, DIGITAL ASSETS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL ALPHA’S TOTAL AGGREGATE LIABILITY TO YOU EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless Alpha and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of a third party.

15. Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration, not in court, except that either party may seek injunctive or equitable relief in court for intellectual property matters.

You waive your right to participate in class actions, class arbitrations, or representative proceedings. If this waiver is found unenforceable, the entirety of this arbitration provision shall be void.

You may opt out of arbitration by sending written notice to support@alpha-labs.trade within 30 days of first accepting these Terms.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and within the app. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services.

17. General

  • These Terms constitute the entire agreement between you and Alpha regarding the Services.
  • If any provision is found unenforceable, the remaining provisions remain in full force and effect.
  • Our failure to enforce any provision does not constitute a waiver of that provision.
  • You may not assign your rights or obligations under these Terms without our prior written consent. Alpha may freely assign these Terms.
  • Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination of these Terms.
